Effective Date: April 13, 2026

This Agreement is between ellxi (“Service Provider”) and the person booking the appointment (“Client”). By booking an appointment, Client agrees to the following:

1. Services

Service Provider agrees to perform the scalp and hair wash selected by the Client at the time of booking. Client acknowledges the products used and provides consent for their appointment. Service Provider maintains full discretion over the techniques, equipment, and supplies used to ensure a professional and safe experience.The purpose of this terms and conditions is to engage with Service Provide to perform services to client as outlined in booking appointment which is outlined in the Service description below and therefore incorporated into this Agreement as Exhibit A (“Service Description”). This Statement of Work shall be subject to all the terms and conditions contained in this document. 

2. Payments & Deposits

• Deposits: A 50% deposit or full payment is required at the time of booking to secure your appointment. 

• Membership Billing: If enrolled in a Subscription, Client authorizes Service Provider to charge the payment method on file monthly. Subscriptions require a 6- month minimum commitment before cancellation is permitted.

3. Late Policy & Cancellation Policy

• Late Arrival: We provide a 10-minute grace period. If you arrive more than 10 minutes late for your scheduled appointment, we won't be able to dedicate the necessary time to provide the full, high-quality service you deserve. In this situation, the service will be modified or shortened to fit the remaining time. In some cases, if the remaining time is insufficient, we may need to reschedule or cancel your appointment completely.

• Client Cancellation: Please provide at least 24 hours notice for cancellations. Cancellations made within less than 24 hours will result in a charge of 50% of the service total.

• Service Provider Cancellation: While we strive to not reschedule, Service Provider reserves the right to cancel appointment anytime after booking is made by client but will attempt to cancel appointment 12 hours prior to scheduled date and time. In such cases, your deposit will be fully refunded or credited. 

4. Packages & Subscriptions

• Packages: Multi-session packages expire within the timeframe provided on the package ( 3 months, 5 months or 8 months) from the date of purchase and are non-refundable. 

• Subscription Cancellation: After the initial 6-month term, subscriptions may be cancelled anytime.

5.  Term and Termination

This term shall commence on the date of booking and cannot be cancelled unless there is a 24-hour notice by the client.

6. Representations

Client acknowledges that he/she is not an agent or representative of Service Provider. Consequently, the client shall not make representations or otherwise imply that he/she has the authority to act on behalf of or bind Service Provider in any way.

7. Indemnification & Liability

Client shall indemnify and hold harmless, and at Service Provider’s request defend, Service Provider and its affiliates, successors and assigns ( and its and their officers, directors, employees, sublicenses, customers and agents) from and against any and all claims, loses, liabilities, damages, settlements, expenses and costs ( including, without limitation, attorney's fees and court costs) which arise out of or relate to (a) any breach ( or claim or threat thereof that, if true, would be a breach) of this terms and conditions by client, including, without limitation, any breach or alleged breach of any representation or warranty client set forth in this terms and conditions or Statement of Work; (b) personal injury to any person (including death ) or real or tangible personal property to the extent such injury or damage is proximately caused by the negligence or willful misconduct of any person whose conduct the Client is liable; (c) Client’s violation of any applicable laws, or (d) Client’s negligent act or omissions, or willful, reckless or fraudulent misconduct.

8. Limitation of Liability

To the extent permitted by applicable law; (a) in no event shall Service Provider be liable under any legal theory for any special, indirect, consequential, exemplary or incidental damages, however caused, arising out of or relating to this terms and conditions, even if the Service Provider has been advised of the possibility of such damages; and (b) in no event shall Service Provider’s aggregate liability arising out of or relating to this Agreement (regardless of the form of action giving rise to such liability, whether in contract, tort or otherwise) exceed the fees payable by Service Provider hereunder.

Exhibit A: Service Description

Quick Hair Wash (25 minutes): $40

A focused deep clean and massage to boost shine and smoothness.

Detox Hair Wash ( 40 minutes): $60

A deep-cleansing ritual using premium products to unclog follicles and promote growth.

Signature Hair Wash(60 minutes): $110
